Yeah the memory problems are probably due to the 1 gig of ram. Unless properly tweaked, the more ram you install above about 512, the less of it 98 can use. You should probably drop the ram temporarily to no more than 512 until you get it running.
There will also be a problem when 98 sees the new motherboard. Check my #2 here:

I mentioned copying the cab files to the hard drive before swapping out the motherboard. Since you've already installed the new board you can copy the cab files after booting from a 98 bootdisk. At the a:\> prompt after booting from the bootdisk type:
md c:\win98 and enter.
Then with the 98 cd in the cdrom type:
copy X:\win98\*.* c:\win98 and enter.
where X: is the drive letter given the cdrom by the bootdisk. With one hard drive it'll usually be D: or E:, depending on whether or not the bootdisk creates a ram drive.
Tweaking the ram setting is more art than science so opinions can vary. You might want to take a look at these screenshots:

When you download from driverguide it's easier to use the 'view a series of ads' option instead of registering with them. Registering will limit your downloads. It's a series of about 6 or 7 ads. At the bottom of each ad you can click 'no thanks' or 'continue' or whatever it takes to get to the next one. It'll only take about a minute.
